Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Haku mobile app, web app, and any related services (collectively, the "Service"), operated by Ember Ventures Ltd., a corporation registered in British Columbia, Canada ("Haku", "we", "us", or "our").

By creating an account, ticking the acceptance box, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Haku is

Haku is a consumer feline well-being tool. It records short videos of your cat, analyzes them using artificial intelligence, and returns observations about body language, mood signals, vocalization patterns, and a pain-scale estimate based on the published Feline Grimace Scale (Évangelista et al., 2019) and related feline ethology research.

2. NOT VETERINARY ADVICE

The Service is provided for informational and educational purposes only.It is not a substitute for professional veterinary diagnosis, treatment, or advice.

• Haku is not a licensed veterinarian and does not provide veterinary medicine, prescriptions, or treatment plans.
• AI-generated outputs (state labels, pain scores, mood readings, monologues, alerts, vet-export reports) are observations and probability estimates, not diagnoses.
• Always consult a licensed veterinarian about your cat's health. Do not rely on Haku to decide whether your cat needs veterinary care.
• If your cat is showing signs of distress, pain, illness, or injury — including but not limited to lethargy, refusal to eat or drink, breathing difficulty, vomiting, bleeding, or sudden behavior change — contact a veterinarian immediately.

3. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account. By using the Service, you represent that you meet this requirement and that you have legal authority over the cat(s) you are recording.

4. Your account

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate information and to keep it current.
• One person, one account. You may not share your account with others.
• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

5. Acceptable use

You agree not to:

• Record, upload, or analyze video of any animal you do not own or have explicit permission from the owner to record.
• Use the Service to attempt to diagnose, treat, or prescribe to animals on behalf of others as if you were a licensed professional.
• Reverse-engineer, scrape, or otherwise extract our prompts, models, or analysis methodology for commercial purposes.
• Use the Service in any way that is unlawful, harmful, or designed to interfere with the Service's operation.

6. Subscriptions, free trial, and billing

Haku offers a free tier with limited functionality and paid tiers (Pro, Premium) that unlock additional scans, multi-cat support, and exports. Paid subscriptions renew automatically until cancelled. You can cancel anytime in your device's app-store subscription settings. Refunds are handled by Apple or Google according to their respective store policies.

7. Content and intellectual property

• Your content. You retain ownership of the videos and images you upload. By using the Service, you grant us a limited, worldwide, royalty-free licence to process them for the sole purpose of providing the Service.
• Our content. The Service — including the Haku name, logo, app, prompts, knowledge corpus, and analysis output — is owned by Ember Ventures Ltd. and protected by intellectual property laws. You may not copy, redistribute, or build derivative works without our written permission.
• Aggregated, anonymized data. We may use anonymized, aggregated data (with no personally identifying information and no individual videos) to improve our models and the Service.

8. Privacy

Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

WE EXPRESSLY DISCLAIM ANY WARRANTY THAT HAKU OUTPUTS ARE MEDICALLY ACCURATE, COMPLETE, OR APPROPRIATE AS A BASIS FOR ANY HEALTH DECISION FOR YOUR CAT. Your use of the Service is at your own risk and the risk of your pet.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EMBER VENTURES LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY VETERINARY OR ANIMAL-HEALTH OUTCOMES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) CAD $50.

11. Indemnification

You agree to indemnify and hold harmless Ember Ventures Ltd. from any claim, demand, loss, or damages arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your reliance on any Haku output for veterinary decisions.

12. Termination

You may stop using the Service at any time and delete your account from the in-app Account settings. We may suspend or terminate your access at any time for breach of these Terms or to comply with law. Sections 2, 7, 9, 10, 11, and 13 survive termination.

13. Governing law and venue

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-laws principles. Any dispute will be brought in the courts of British Columbia, and you consent to their exclusive jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date. Material changes will be notified in-app or by email. Your continued use of the Service after the changes take effect constitutes your acceptance.
